1. Acceptance of Terms

By accessing or using our website or services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please discontinue use of our services.

2. About Our Services

Medina Systems provides website creation, hosting, maintenance, AI chatbot integration, and related digital solutions for small businesses.

All content, pricing, features, and offerings are subject to change at any time. We reserve the right to decline projects that do not align with our business standards or capabilities.

3. Payments and Fees

• Setup Fee: A one-time fee based on your selected package (Launch, Growth, or Dominance).
• Monthly Retainer: Begins 30 days after the initial purchase and is billed automatically each month for hosting, updates, AI services, and support.

Each plan includes a one-time setup fee and a recurring monthly retainer. Clients have a 30-day grace period after signup to cancel before the 12-month service term begins.

After the 30-day period, the 12-month service agreement becomes active and is non-refundable. Clients may request cancellation at any time to prevent automatic renewal once the current 12-month term ends.

Important Billing Terms

Canceling a subscription or payment method inside Stripe only stops automatic billing and does not cancel the 12-month service agreement.

All remaining payments for the remainder of the 12-month term remain owed and payable, regardless of Stripe billing status.

Failure to maintain valid payment information or intentionally canceling Stripe billing before completing the 12-month term may result in the full remaining balance becoming immediately due.

Late or failed payments may result in suspension of hosting, website access, or AI services.

All fees are non-refundable once the 30-day grace period has ended and the 12-month service term has begun.

4. Client Responsibilities

Clients agree to:

• Provide accurate information, content, and materials needed for the project
• Review and approve content before publication
• Use our services only for lawful business purposes
• Maintain confidentiality of login credentials and account access

Clients are responsible for any activity under their account.

5. Intellectual Property and Ownership

All website designs, code, AI integrations, and digital assets created by Medina Systems remain the sole property of Medina Systems.

Clients receive a non-exclusive license to use their website and related materials only while their service plan is active and payments are current.

If monthly payments stop or a subscription is canceled, this license automatically terminates. Medina Systems may deactivate, remove, or restrict access to the website and hosting without notice.

Ownership of the website, files, design, or code does not transfer to the client unless:

• • A separate written buyout agreement is signed, and
• • All outstanding balances are paid in full.

Medina Systems may reuse design components, templates, or code for other clients and may display completed work in its portfolio unless otherwise requested in writing.

6. Service Agreement and Cancellation

Clients have a 30-day grace period after signup to cancel before the 12-month service term begins.

After the 30-day period, the 12-month agreement becomes active and non-refundable. Clients may notify us at any time if they do not wish to renew after the 12-month term ends.

Written Notice Requirement

Cancellation of the service agreement requires written notice sent to: [email protected]

Canceling through Stripe does not cancel the agreement or remove payment obligations.

Upon cancellation of service, website hosting, AI features, and maintenance services will be discontinued, and access may be removed.

7. Domain Management Policy

Domains purchased and managed through Medina Systems remain under our account for the duration of the service.

Clients may request a domain transfer upon cancellation for a one-time $25 administrative fee. Transfers may take 5–10 business days and must be requested in writing.

8. Hosting and Reliability

Medina Systems targets 99.9% monthly uptime for hosted websites.

This excludes:

• • Scheduled maintenance
• • Third-party service outages
• • Events outside our reasonable control (force majeure)

No guarantees are made regarding uninterrupted operation or specific business outcomes.
